We are looking for a 4wd flat tow-able vehicle from 1998-2002. Does anybody know what make and model vehicle would fit that criteria without major modifications?

All Suzuki and Chevrolet Tracker 4X4s in that time frame are towable 4 down.

The F-250/F-350 with manual 4x4 and manual locking front hubs is towable 4 wheel drive.
Also I have heard that the Mercury version of the Exployer can be converted to towing 4 wheels down if it has 4 WD, but the Exployer can not be changed. I heard it is a simple dealer adjustment that is quick and simple.

I also used to tow a Honda CRV, that was all wheel drive. No modifications except to add towing lights and a hitch bracket to the front.

AWD is very different than 4WD. The AWD is not suited for off road use as there is no low range. One test on a CR-V said that everyone but the driver had to get out and help it up a hill. No such problems for the real 4WD units. AWD is more for on road traction and stability in bad weather.

About any 4x4 with a manual transfer case can be towed 4 down. Make sure you check the owners manual cause thats the authority. RMCO may also be able to help you.

Do you really WANT a 4WD vehicle, or is an AWD (all wheel drive) vehicle sufficient. If you're heading off road, then you want 4WD. If you're looking for something to help keep you on the pavement in bad weather, then AWD will do what you want.
If you want a real 4WD vehicle, then I'd recommend a 2003-2006 Suzuki XL-7. I know they're a bit out of the year range your asking about, but the 2001/2002's had a timing chain issues that was resolved in later years. Plus they got a major facelift in 2003. For off-roading ability, in most tests they come in second only to the Jeeps.
Due to all the bad press of Consumers Report, the resale value of XL-7's tends to be low. But in my personal experience, my 2003 is built BETTER than our 2001 Honda Odyssey and is on par with my 1988 Honda Accord. These are solid vehicles.

To continue what others have said for towing 4 down:
Only 4x4s that can be shifted to neutral are towable, and that does not include all jeeps because some have AWD.
My toad is available with several different badges (Chevy, GMC & Buick), with 2 Wheel Drive, 4x4 and AWD. Only the 4x4 model from Chevy and GMC is flat towable. The transfer case does have a AWD feature and the control knob doesn't have a neutral position, but it is a real 4x4 transfer case with 2WD, AWD, 4Hi, 4Lo and neutral.
Almost all 2WD w/auto tranny are not flat towable.

The new Ford/GM six speed automatic is flat towable, some Honda CRvs are, most Saturns are, etc.
A very good starting point is the Trailer Life/Motorhome magizine towing guides or the FMCA towing guide.
One that hasn't been mentioned is the 2002 Jeep Liberty. It replaced the Cherokee that year. In the 4x4 version it is towable either manual or automatic no matter what level of trim. For a used Jeep, Libbies are at the bottom of the food chain right now, and you can pick up a nice one relatively inexpensive for a Jeep.
